  • “AigileConsultants,” “we,” “us,” or “our” refers to AigileConsultants.

  • “Client,” “you,” or “your” refers to the individual or organization using our website or services.

  • “Services” refers to IT Project Management, Agile Coaching, Agile Transformation, and related consulting services.

  • “Razorpay” refers to the payment service provider we use for processing payments.

 

2. Razorpay–Related Compliance & Updates

  • You agree that payments through the website are processed via Razorpay, and you are subject to Razorpay’s relevant terms and conditions.

  • Razorpay may amend their terms at any time; we may update these Terms accordingly. Continued use of our Services constitutes acceptance.

 

3. Use of Payment Services & Data

  • Payments are securely processed using Razorpay’s platform, which you use subject to their policies.

  • Razorpay retains ownership of proprietary rights in their platform; you grant them a limited right to process your payments.

  • Data you provide (e.g., customer information, logos, materials) may be used by Razorpay to operate their services; you indemnify Razorpay against any claims arising from such use in accordance with Razorpay’s policies.

 

4. Eligibility & Account Integrity

  • You must provide truthful and accurate information as requested for payment processing. Inaccurate details may result in the suspension or termination of your access to Razorpay’s services.

 

5. Intellectual Property

  • All content on the AigileConsultants website—text, graphics, branding—is owned by us and protected by law.

  • Razorpay retains all intellectual property rights in their services, platforms, trademarks, and related materials. You must not infringe or misuse them.

 

6. Indemnification

  • You agree to indemnify and hold Razorpay harmless for any losses or claims arising from your use of Razorpay’s “Trusted Badge” or any other service indication that implies endorsement or quality, unless otherwise agreed.

 

7. Limitation of Liability

  • To the maximum extent permitted by law, Razorpay disclaims liability for indirect, incidental, or consequential damages linked to their services or our platform.

  • Our liability toward you for issues related to Razorpay’s platform is limited to the amount you paid for AigileConsultants services in the relevant transaction.

 

8. Disclaimer of Warranties

  • Our “Services” and Razorpay’s payment processing are provided “as is” without warranties. We cannot guarantee uninterrupted access or outcomes.

 

9. Termination

  • You or AigileConsultants may terminate this arrangement if either party breaches these Terms. Suspension of services may also result from issues related to Razorpay compliance or payment disputes.

 

10. Updates to These Terms

  • AigileConsultants reserves the right to update these Terms. Updated Terms will be posted on our website, and your continued use signifies acceptance.

 

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

In the event of any dispute or difference arising out of or in connection with these Terms or the Services provided:

  • The parties shall first attempt to resolve the matter amicably through mutual discussions and negotiations.

  • If the dispute remains unresolved within 30 days, it shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996 (as amended).

  • The arbitration proceedings shall be conducted in English, and the seat and venue of arbitration shall be Kolkata, India.

  • The arbitral tribunal shall consist of a sole arbitrator appointed by mutual consent of the parties. If the parties cannot agree, the arbitrator shall be appointed in accordance with the said Act.

  • The courts of Kolkata, India shall have exclusive jurisdiction for any matters not subject to arbitration.
